The group of an Energy public company involved in this project is one of the fastest growing energy infrastructure players in Southeast Europe with over 1,000 MW of renewable electricity generation capacity under ownership, management or in development in Romania and Moldova, along with one of the fastest growing renewable electricity supply businesses in these two countries. The project involved the preparation of the prospectus relating to the offering for a subscription of up to 25,000,250 newly issued ordinary shares by the company and the sale of up to 6,250,063 existing ordinary shares in its share capital by its holding company, together with an over-allotment option and a possibility for an upsize. We have also assisted and reviewed all relevant documentation and agreements regarding the offering and opined on several legal matters.

Challenge

The main challenge was to find practical and suitable solutions to the varying legal requirements between the laws of Romania (where the listing was taking place) and Cyprus (where the issuer-company is registered) and resolve certain compatibility issues within short timeframes.

Result

The company now has a market capitalisation of €490 million. This was one of the largest initial public offerings in the BSE over the last five years, and books were oversubscribed multiple times.
