AVLINA CONSTANTINIDES

Pavlina joined the Firm as an associate lawyer in 1996 and became a partner in 2000. She heads the Company Formation & Administration Unit of the Corporate & Commercial department which handles, inter alia, the incorporation of corporate vehicles in Cyprus and other jurisdictions and the provision thereto of corporate management and fiduciary services including corporate secretarial services.

Pavlina specialises in corporate and commercial law. With an in-depth knowledge and more than 20 years’ unrivalled experience in her field, she deals with the whole spectrum of corporate matters. She advises on corporate and financial national and cross-border transactions such as reorganisations and restructurings, joint ventures and shareholders’ arrangements, mergers, acquisitions of companies and businesses, incorporations, redomiciliations into and out of Cyprus, conversion of private companies into public and vice versa, reinstatements, dissolutions and liquidations. She has a broad experience in the establishment of private companies limited by shares or by guarantee, public companies, branches/representative offices, partnerships and other entities in Cyprus and abroad, the registration of business names and the provision of administration services to companies. Her work involves making legal due diligence exercises, handling court applications related to various corporate procedures under the Cyprus Companies Law, preparing and submitting to various Corporate Registries documentation related to the respective jurisdiction and applying and securing therefrom various documents, drafting and reviewing a wide range of legal documents including agreements, corporate finance documents, legal opinions, corporate authorities, powers of attorney, memoranda and articles of association.

She also advises in the areas of corporate governance and regulatory compliance.

Pavlina works with clients at all stages of the corporate life cycle and assists not only with the incorporation, dissolution or liquidation but also with any required actions to be taken or changes to be made during the existence of a corporate entity (e.g. changes to the company name, constitutional documents, share capital, classes of shares, shareholders, nominal value, directors, redemption of shares, etc). Her wide range of clients includes big international groups of companies, leading firms, multinational corporations, banks, listed and private companies, professional intermediaries and high-net-worth individuals both in the local and international markets.

She enjoys a broad cooperation with banking and financial institutions, law firms in other jurisdictions, service providers and auditing firms. She handles the interaction with the Cyprus Companies Registry and other governmental authorities in Cyprus as well as other jurisdictions on behalf of clients.

She has given presentations, attended many seminars on her field of expertise and holds numerous directorships in various companies. She is an appointed Special Agent of the Republic of the Marshall Islands in Cyprus.
